Acceptance of terms

By accessing or using the websites itsoftwareautomation.ro and itsoftwareautomation.com, downloading, installing, or using C-ERP, or purchasing a license, you confirm that you have read, understood, and accepted these Terms and Conditions.

You also confirm that you have taken note of the Privacy & Data Protection policy, which explains how personal data is collected, used, and protected.

If you do not agree with these Terms and Conditions, do not use the websites, do not install or use the software, and do not purchase a license.

These terms apply to all visitors, users, and buyers. If you use the websites or the software, or purchase a license, on behalf of a company or another legal entity, you declare that you have the necessary authority to accept these terms on its behalf.

Services offered

IT & Automation provides the following through this website:

• C-ERP software — a Windows desktop application for B2B compensation order management, available as a free trial and as a paid, hardware-locked license.
• Documentation and resources — manuals, templates, and technical guides available for download.
• Engineering services — industrial automation, IT infrastructure, and drone solutions offered on a project basis. Terms for individual projects are governed by a separate service agreement.
• Contact & support — enquiries submitted via the contact form are handled on a best-effort basis.

C-ERP software license

Free trial. C-ERP may be used free of charge for:

• carrying out a maximum of 5 complete compensation orders;
• submitting a maximum of 10 invoices through the RO e-Factura system.

These limits are calculated separately. Once the limit for a given functionality is reached, continued use of that functionality requires the purchase of a C-ERP license.

The trial does not require registration, entering a bank card, or assuming any payment obligation. Resetting, circumventing, or manipulating the trial-metering mechanisms is not permitted.

Paid license. The C-ERP license is available at a price of 399 RON, as a one-time payment, and allows, for an indefinite period:

• carrying out an unlimited number of compensation orders;
• submitting an unlimited number of invoices through the RO e-Factura system;
• use of the application on a single licensed computer.

Use of the RO e-Factura functionality is subject to the applicable legal and technical requirements and depends on the availability of the services provided by ANAF, as well as on the existence of valid means of authentication and authorization. No subscription or renewal fees apply to the C-ERP license.

License–device binding. The license is associated with the computer through a hardware fingerprint called the "Machine ID". Certain significant changes to hardware components or replacement of the computer may cause the Machine ID to change.

The license cannot be used simultaneously on multiple computers and cannot be divided, duplicated, or shared. To move the license to another computer, including in case of equipment failure or replacement, the buyer must contact support. Any reissue or transfer requires verification of proof of purchase and cessation of use of the license on the previous computer.

Right of use. The license grants the buyer a non-exclusive, non-sublicensable right to install and use C-ERP on the licensed computer, for lawful activities.

If the license is purchased by an organization, the software may be used on the licensed computer by its authorized personnel.

Except for operations expressly permitted by law, the user is not entitled:

• to reverse-engineer, decompile, disassemble, or modify the software;
• to copy, distribute, rent, resell, sublicense, or make the software or the license file available to third parties;
• to modify, disable, or circumvent the license activation, verification, or metering mechanisms;
• to use the software to process data or carry out activities in violation of applicable law.

These restrictions apply to the extent permitted by the legislation in force and do not limit rights that cannot be excluded by contract.

Updates. The license includes, at no additional cost, the maintenance updates, bug fixes, and minor improvements made generally available for the licensed version of C-ERP.

The license does not automatically include major versions, distinct products, new modules, or functionality developed and marketed separately. These may be offered under a separate commercial offer. This provision does not limit the obligation to supply the updates necessary to keep the software in conformity, where required by law.

Delivery. The .lic license file is sent by email within no more than one working day from payment confirmation and validation of the Machine ID and email address provided by the buyer.

The buyer is responsible for providing the correct Machine ID and email address. If the information provided is incomplete or incorrect, the delivery period starts to run after it has been corrected and validated.

Products in development

NCPA and TramDynamics are under development and are not currently available for purchase.

The functionalities, prices, commercial conditions, and licensing terms applicable to each product will be published before its launch. Information presented prior to launch is for informational purposes only and may change during development.

Payments & refunds

Price. The C-ERP license costs 399 RON, a one-time payment, with applicable taxes included, according to the provider's fiscal regime. No subscription or renewal fees apply. The total applicable price is the one displayed and accepted by the buyer before placing the order.

Payment processing. Payments are processed through a third-party payment service provider. IT & Automation Solutions does not collect or store full card details. The corresponding fiscal document is issued for every confirmed order, in accordance with applicable Romanian law.

License delivery. C-ERP is a digital product delivered electronically. The .lic license file is generated for the Machine ID provided by the buyer and sent to the email address indicated in the order, within no more than one working day from payment confirmation and validation of the required data.

The buyer is responsible for providing the correct Machine ID and email address. If the data is incomplete or incorrect, the delivery period starts to run after it has been corrected and validated.

Right of withdrawal. A buyer who qualifies as a consumer benefits, in principle, from the right of withdrawal from the distance contract within 14 days of its conclusion, under the conditions of O.U.G. no. 34/2014.

The buyer may expressly request that the C-ERP license be issued and delivered before the expiry of the legal withdrawal period. Through the consent given separately within the order, the buyer confirms that they request the supply of the digital content to begin before the expiry of the withdrawal period, and that they understand that they lose the right of withdrawal once the .lic file has been issued and transmitted, in accordance with art. 16 letter m) of O.U.G. no. 34/2014.

Cancellation before delivery. Before the .lic file is issued and transmitted, the buyer may request cancellation of the order and a refund of the amount paid, provided the supply of the license has not yet begun.

Refunds after delivery. After the .lic file has been issued and transmitted, based on the buyer's express consent to begin the supply before the expiry of the withdrawal period, refunds are no longer available for a simple change of mind or renunciation of the product.

This limitation does not affect the consumer's legal rights in case of non-supply, wrong delivery, or lack of conformity of the software.

Non-supply or non-conformity. In case of non-supply, wrong delivery, or lack of conformity, the consumer benefits from the corrective measures provided by O.U.G. no. 141/2021, including, as appropriate, bringing the software into conformity, a proportionate price reduction, or termination of the contract.

If the .lic file cannot be used due to an error attributable to us, or was issued using data other than that correctly provided by the buyer, we will remedy the situation free of charge by correcting, resending, or reissuing the license, as appropriate. Acceptable use

You undertake to use the website and software only for lawful purposes and in accordance with these Terms and Conditions.

It is forbidden to use the website or software for:

• violating any law, regulation, or the rights of third parties;
• transmitting malicious code, viruses, spam, or unauthorized automated requests;
• obtaining or attempting to obtain unauthorized access to our systems, accounts, or data;
• providing false information or manipulating your identity, the Machine ID, or the activation mechanism in order to fraudulently obtain or use a license;
• unauthorized copying, sharing, reselling, or transferring of the license;
• circumventing, disabling, or compromising the security, activation, or license-verification mechanisms;
• disrupting the operation, security, availability, or performance of the website and associated services;
• using the software in a way that may cause harm to us, to other users, or to third parties.

In case of violation of these rules, we reserve the right to restrict, suspend, or terminate access to the website, the associated services, or the license, to the extent necessary and permitted by law.

Intellectual property

Except for third-party materials identified as such, the entire content of the website and software — including texts, graphic elements, logos, design, source and executable code, structure, functionalities, and documentation — belongs to IT & Automation Solutions or is used under legal rights, and is protected by Romanian and European intellectual-property legislation.

Purchasing a license grants the user a limited, non-exclusive, non-transferable right to install and use C-ERP in accordance with the license conditions. The license does not transfer ownership of the software, its source code, or its components.

Except where expressly permitted by law, it is forbidden to copy, modify, adapt, distribute, resell, sublicense, rent, publish, decompile, reverse-engineer, or attempt to extract the source code of the software.

The documentation may be downloaded and used for personal purposes or for the internal use of the organization holding the license. Copying for commercial purposes, publishing, or redistributing the documentation without our prior written consent is not permitted.

The data entered by the user and the documents generated from it remain the property of the user. The user may use them in the course of their business, in accordance with applicable law.

Limitation of liability

The website and software are provided in accordance with the functionalities and specifications presented. We make reasonable efforts to ensure the software operates properly, but we do not guarantee that it will run permanently without interruptions, errors, or technical incompatibilities.

The user is responsible for verifying the correctness of the data entered and of the results generated, as well as for making regular backups. The software does not replace professional, accounting, tax, or legal review of the documents and information processed.

To the maximum extent permitted by law, IT & Automation shall not be liable for indirect or consequential damages, loss of profit, revenue, business opportunities or data, business interruption, or damages resulting from improper use of the website or software, from the entry of incorrect data, from the absence of backups, or from the unavailability of services provided by third parties.

To the extent permitted by law, our total liability for proven direct damages arising from the purchase or use of a C-ERP license shall not exceed the amount actually paid for that license.

Nothing in this section excludes or limits any liability or rights that cannot be excluded or limited under applicable law, including mandatory consumer rights.

Governing law & dispute resolution

These Terms and Conditions are governed by the laws of Romania, without prejudice to the mandatory rights and protections granted to consumers under applicable law.

Any disputes shall be settled by the competent courts, in accordance with the applicable legal provisions. Consumers retain the right to bring proceedings before the courts having jurisdiction under consumer-protection legislation.

Before initiating legal proceedings, we encourage you to contact us to attempt to resolve the dispute amicably.

Changes to these terms

We may update these terms from time to time. The "Effective" date at the top of the page reflects the most recent revision. Continued use of the website or software after changes are posted constitutes your acceptance of the updated terms.

Material changes will be communicated through a notice on the website.
